Agreement and Eligibility

These Website Terms of Use ("Terms") are a binding agreement between you and LegacyGrid AI [PLACEHOLDER — INSERT FULL LEGAL ENTITY NAME AND FORM] ("LegacyGrid AI," "we," "us," or "our"). By accessing or using legacygridai.com or any page that links to these Terms (the "Site"), you agree to these Terms. If you do not agree, do not use the Site. You must be at least 18 years old and legally able to enter a contract. If you use the Site for an organization, you represent that you are authorized to accept these Terms for that organization. This document is v1.0 — DRAFT FOR ATTORNEY REVIEW, prepared July 19, 2026. It is not effective until reviewed, approved, and adopted by LegacyGrid AI with an attorney-confirmed effective date.

Permitted Use

You may access and use the Site for lawful, internal informational purposes and to evaluate whether to contact LegacyGrid AI. Subject to these Terms, you may print or download a reasonable number of Site pages for your own internal, noncommercial evaluation, provided you retain all notices and do not modify the content.

Prohibited Conduct

You may not: • Use the Site unlawfully, fraudulently, deceptively, or in a way that infringes another person's rights. • Interfere with Site operation or security; introduce malware; probe or bypass access controls; scrape at scale; overload the Site; or attempt unauthorized access. • Copy, republish, sell, sublicense, frame, mirror, reverse engineer, or create competing materials from Site content except as law expressly permits. • Remove or alter copyright, trademark, confidentiality, attribution, or proprietary-rights notices. • Use the Site, its frameworks, or its output to train or benchmark a model, assemble a competing database, or develop a competing methodology without written permission. • Misrepresent affiliation with LegacyGrid AI or use any mark in a domain name, account name, metatag, keyword advertisement, or other source identifier without written permission.

No Client Relationship; No Duty to Accept an Inquiry

Using the Site, submitting a form, downloading content, or communicating through a general Site channel does not create a client, advisory, fiduciary, engineer-client, contractor, agency, partnership, or other professional relationship. We may decline or not respond to any inquiry. A client relationship exists only after authorized representatives sign a written engagement agreement or statement of work. Do not send confidential, privileged, export-controlled, or time-sensitive information until we confirm an appropriate channel and engagement.

Intellectual Property

The Site and all text, graphics, diagrams, models, taxonomies, selection and arrangement, software, downloads, reports, trade dress, and other content are owned by or licensed to LegacyGrid AI and are protected by intellectual-property and unfair-competition laws. AI Infrastructure Systems Engineering™, AISE™, EDC Certified™, LegacyGrid AI, associated logos, and related identifiers are trademarks, service marks, certification-related identifiers, trade names, or proprietary brand assets of LegacyGrid AI or the applicable rights owner. No right or license is granted except the narrow personal use expressly stated in these Terms. You may refer factually to LegacyGrid AI or a methodology only in accordance with the Trademark Usage Guide and applicable law. You may not claim EDC Certified™ status, display an EDC Certified™ badge, reproduce proprietary criteria, or imply endorsement, authorization, affiliation, or certification without an active written authorization from LegacyGrid AI.

User Submissions and Feedback

You retain ownership of information you submit. You grant us a nonexclusive, worldwide, royalty-free license to host, reproduce, transmit, and use the submission only as reasonably necessary to evaluate and respond to it, operate and secure the Site, maintain records, and comply with law. You represent that you have the right to submit it and that our permitted use will not violate another person's rights. If you voluntarily provide suggestions about the Site or our services without a confidentiality obligation, you permit us to use them without restriction or compensation. This feedback provision does not authorize us to disclose your confidential project information.

Professional-Practice and Reliance Limits

Site content is general information, not project-specific professional advice. It is not a sealed engineering design, feasibility determination, code analysis, utility commitment, environmental review, construction document, investment recommendation, valuation, financing commitment, legal opinion, tax advice, or guarantee. Do not use Site content to make final engineering, construction, permitting, procurement, operational, financing, real-estate, or investment decisions. LegacyGrid AI provides advisory and systems-level analysis and is not, by virtue of the Site, an engineer of record, architect, contractor, developer, operator, utility, broker, lender, or investment adviser. Final design, permitting, code compliance, sealed documents, construction means and methods, safety, commissioning, and professional approvals must be performed by appropriately licensed and qualified parties. You are responsible for independent verification and professional review before acting.

Certification Information

Descriptions of EDC Certified™ or other assessment and certification-related services are informational. Certification, if offered, applies only to the asset, scope, criteria version, evidence, and time period stated in an executed authorization or certificate. It is not a warranty of performance, regulatory approval, investment quality, uninterrupted operation, or future compliance. LegacyGrid AI may withhold, condition, suspend, or revoke authorization to use certification identifiers under the applicable program rules.

Privacy and Cookies

Our Privacy Policy and Cookie and Analytics Notice explain how we handle personal information and cookies. They are incorporated by reference to the extent permitted by law. See also: Cookie Settings in the Site footer.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." LEGACYGRID AI DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, CURRENCY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, AVAILABILITY, AND RESULTS. WE DO NOT WARRANT PROJECT OUTCOMES, UTILITY CAPACITY, FUNDING, REGULATORY APPROVAL, CERTIFICATION, ENGINEERING STAMPS, COST, SCHEDULE, OR PERFORMANCE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGACYGRID AI AND ITS OWNERS, OFFICERS, PERSONNEL, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, OPPORTUNITY, OR GOODWILL; BUSINESS INTERRUPTION; OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). EDC Certified™ Program Disclosure

The following disclosures apply to the EDC Certified™ program described on this Site: Program Type: Proprietary certification framework — draft for adoption. Developed By: LegacyGrid AI. Current Status: Governance development and independent-review preparation. The program is not yet open for third-party applications. Third-Party Certificates Issued: None. No third-party certificates, designations, or ratings have been issued under the EDC Certified™ program as of the effective date of these Terms. Government Approval: EDC Certified™ is not a government license, government permit, regulatory approval, or substitute for any applicable federal, state, or local regulatory requirement. Accreditation: LegacyGrid AI is not currently accredited to ISO/IEC 17065, ISO/IEC 17021, or any other accreditation framework in connection with the EDC Certified™ program. Trademark Status: EDC Certified™ is a claimed trademark of LegacyGrid AI. The ™ symbol does not represent federal registration. Federal trademark registration is pending. Program Documents: All EDC Certified™ program documents, including the Governance Charter and Third-Party Certification Pathway, are drafts for adoption. They do not constitute final program rules and are subject to change without notice prior to formal program launch. No Reliance: Nothing in the EDC Certified™ program materials, including proposed designation descriptions and scoring frameworks, should be relied upon as a guarantee of any project outcome, financial return, regulatory approval, or engineering performance. PROPOSED DESIGNATION ARCHITECTURE The following four designations are contained in the draft Governance Charter. They are proposed program constructs — not currently available for public application. Designation 01 — Model Conformant: A repeatable framework has documented controls intended to embed EDC requirements. This designation does not certify a site, project design, or operating outcome. Designation 02 — Design Certified: A defined project has incorporated applicable EDC requirements into controlled design documents, agreements, permits, baselines, and measurement plans. Designation 03 — Operational Certified: A commissioned Certification Unit demonstrates conformance using measured operating evidence, review records, and delivered outcomes. Designation 04 — Portfolio Certified: A controlled portfolio of identifiable operating units meets portfolio governance, sampling, reporting, and surveillance requirements. EVALUATION STRUCTURE The proposed EDC Certified™ evaluation framework includes eight domains. A minimum score of 75 points out of 100 is required to achieve any designation. Domain scores are not individually disclosed. LegacyGrid AI retains sole authority over the program's governance documents, designation criteria, scoring frameworks, and program rules during the governance development phase. LegacyGrid AI has a direct commercial interest in AI infrastructure projects involving HBCUs and colleges. This interest creates an inherent conflict of interest in any evaluation of LegacyGrid AI's own projects or affiliated entities. To manage this conflict, the proposed program governance structure includes independent Standards Council appointments, independent reviewer panels, and public disclosure requirements. These controls are proposed and have not yet been implemented. CLAIMS NOT AUTHORIZED The following statements are not authorized and must not be made by any party in connection with the EDC Certified™ program: 1. LegacyGrid AI operates an EDC Certified™ data center. 2. LegacyGrid AI's infrastructure model has received a final EDC Certified™ designation. 3. PVAMU, Fisk University, Serverfarm, or any other third party is EDC Certified™. 4. EDC Certified™ is government-approved or independently accredited. 5. EDC Certified™ proves zero water use, carbon neutrality, zero impact, guaranteed resilience, or a specific project outcome. 6. A broad affiliate, portfolio, phase, product, or site is covered when it is outside the defined Certification Unit.
